Software License Terms
(SAMPLE FOR REFERENCE PURPOSE ONLY)

Article 1 (Scope of These License Terms)

These Software License Terms (referred to as these "License Terms " hereafter) for a cloud PBX service "COLLABOS Phone" (referred to as the "COLLABOS Phone Service" hereafter) provided by COLLABOS Corporation (referred to as the "Company" shall be applied to the Customer who uses the COLLABOS Phone Service , in addition to the " Basic Terms of Use for COLLABOS Service" (referred to as the "Basic Terms " hereafter). The terms used in these License Terms shall have the meaning as defined in the Basic Terms , unless otherwise specifically provided.

Article 2 (Consent to the License Conditions)

The Customer is entitled to use the program provided in the following article (referred to as the "Program" hereafter) in using the COLLABOS PHONE Service in accordance with these License Terms. Before using the Program, it is necessary to read the license conditions provided in the subsequent articles (referred to as the "License Conditions" hereafter). Only the Customer who agrees with the License Terms may use the Program. The Customer who used any part of the program contained in the Program shall be deemed to have accepted the License Conditions and to have executed the License Agreement (referred to as the "License Agreement" hereafter) with the Company.

Article 3 (General License Conditions)

1.The COLLABOS PHONE Service is provided by using the following program:
・”COLLABOS PHONE dedicated softphone”
・”PJSIP”
・”FreePBX and its modification program Modification Date February 10, 2012”
・”Asterisk”

2.For any reason, the Program may be changed without prior notice to the Customer, or the distribution or provision of the Program may be discontinued. In that case, even if the Customer has suffered damage, the Company shall not be liable for such damage

Article 4 (License Conditions for the COLLABOS PHONE dedicated softphone)

1. Application of the GNU General Public License Version 2

The "COLLABOS PHONE dedicated softphone" is a free software licensed in accordance with the Free Software Foundation's "GNU General Public License Version 2" (referred to as "GPL 2.0" hereafter), and it may be used freely (the "Use" in the License Agreement includes storing, downloading or installing, or displaying on the computer, accessing, or executing the software) for both personal and business use, however, the copyright belongs to the Company. For the matters not provided in these License Conditions, license shall be granted in accordance with the provisions of GPL 2.0. If there is any conflict between the License Conditions and GPL 2.0, the provisions of GPL 2.0 shall prevail. The Customer shall refer to the relevant pages of GNU website (https://www.gnu.org) for more details about GPL 2.0.

2. License

(1) The Company will grant personal, limited and non exclusive rights to the Customer to use, let others use, duplicate, let others duplicate, distribute to a third party, or allow such third party to use the "COLLABOS PHONE dedicated softphone" only in the usage of the COLLABOS PHONE Service.

(2) The Customer may modify the "COLLABOS PHONE dedicated softphone" in accordance with the provisions of GPL 2.0 , however , the Company shall not have any responsibility for such modification.

(3) The "COLLABOS PHONE dedicated softphone" may be redistributed without the Company's permission ; however, that it is necessary to obtain the redistributed party’s consent to the License Conditions and GPL 2.0. The Customer shall distribute the "COLLABOS PHONE dedicated to a third party under the same conditions as the License Conditions and GPL 2.0.

3. Limitation

With the exception of those expressly granted in the License Conditions and GPL 2.0, the Customer shall not use the "COLLABOS PHONE dedicated softphone", and shall not assign , sub-license, sell, lend or transfer it to any third party.

4. Termination of License

(1) The Customer may terminate the License Agreement by discarding or deleting the "COLLABOS PHONE dedicated softphone".

(2) If the Customer violated the License Agreement, the Company may for bid the use of the "COLLABOS PHONE dedicated softphone" by the Customer immediately. In that case, the Customer shall immediately discard or delete any of the "COLLABOS PHONE dedicated softphone" and its copies.

5. Copyright Notice

The Customer shall not change, remove or delete, etc. the copyright notice of the Company or its licensors contained in the "COLLABOS PHONE dedicated softphone".

6. Attribution

The intellectual property rights relating to the "COLLABOS PHONE dedicated softphone" belongs to the Company or its licensors depending on their contents. With the exception of those expressly stated in the License Conditions and GPL 2.0, any rights or license regarding any intellectual properties of the Company and its licensors shall not be transferred or granted to the Customer in accordance with the License Agreement.

7. Export Controls

The Customer for the "COLLABOS PHONE dedicated softphone" shall comply with all the laws, regulations and rules related to export control in the relevant countries.

8. No Warranty and Disclaimer

(1) In the usage of the "COLLABOS PHONE dedicated softphone", the Customer shall acknowledge and consent that the Customer use it at its own responsibility and expense . Any of the Company, its distributing agent, or its distributor and its licensors does not make any kind of warranty related to the "COLLABOS PHONE dedicated softphone", and the Company is not responsible for any damage caused by the usage or unavailability. To the extent permitted by the applicable law, Any of the Company, its distributing agent or its distributor , and its licensors shall not be responsible for any dispute arising out of or in relation to the "COLLABOS PHONE dedicated softphone" or its usage. Furthermore, "any damage" means all damages including but not limited to lost profits and other consequential or incidental damages.

(2) The Company shall not warrant that the "COLLABOS PHONE dedicated softphone” operation does not have hindrances or malfunctions. The Company shall not fix bugs or perform any support obligations. The "COLLABOS PHONE dedicated softphone" shall be provided on “as is” basis with no warranty , express or implied, including implied warranty regarding the merchantability and fitness for a particular purpose.

(3) The Customer shall bear the responsibility and expenses for any risks regarding the quality , function and performance, of the "COLLABOS PHONE dedicated softphone".

Article 5 (License Conditions for ”Asterisk” ”FreePBX and its
modification program” ”PJSIP”(Free software licensed in accordance
with GPL))

"Asterisk", "FreePBX and its modification program” and "PJSIP" constituting the COLLABOS PHONE Service, are free software licensed in accordance with Free Software Foundations GPL2.0. These software may be redistributed or modified in accordance with the conditions provided in GPL2.0. Although such free software modules may be useful, the Company and developer shall, in redistributing or modifying, make any warranty including implied warranty regarding the merchantability and fitness for a particular purpose.
